12. Governing law. The terms are governed by the laws of the state of california and the federal arbitration act (“faa”), without regard to conflict of law principles. Subject to section 12, which provides that disputes are to be resolved through binding arbitration or small claims court, to the extent that any lawsuit or court proceeding is permitted hereunder, you and MoneyMate agree to submit to the exclusive personal jurisdiction of the state courts and federal courts located within san francisco county, california, for the purpose of litigating all such disputes. We make no representation that information and materials included in the services are appropriate or available for use outside the u.s.
13. Dispute resolution by binding arbitration; class action waiver. Most disputes and customer concerns can be resolved quickly and to your satisfaction by contacting us at support@moneymate.com. However, in the unlikely event that MoneyMate cannot resolve a dispute with you, then, except with respect to small court claims and claims related to intellectual property as set forth in the “arbitration agreement” Section below (“arbitration agreement”), both you and MoneyMate agree to submit the dispute to the american arbitration association under its consumer and/or commercial arbitration rules or, by separate mutual agreement, to another arbitration institution, in accordance with the “arbitration agreement” Section below.
14. You understand that by entering into this agreement, you and MoneyMate are each waiving the right to a trial by jury or to participate in a class action.
15. Arbitration agreement
- Claims to be resolved by binding arbitration. To the maximum extent permitted by applicable law MoneyMate and you agree to arbitrate any and all disputes and claims between you and MoneyMate, and between you and our former or past employees, directors, officers and contractors, in all cases arising out of or relating to the terms or the services, except that: (1) each party may commence an action in a court of proper jurisdiction for injunctive or other equitable relief as contemplated in section 12(h) below (injunctive relief) pending a final decision by the arbitrator, (2) either party may bring an individual action in small claims court if the rules of that small claims court will allow it. If either party does not bring its claim in small claims court (or if you or we appeal a small claims court judgment to a court of general jurisdiction), then the claims must be resolved by binding, individual arbitration.
16. You agree that, by agreeing to the terms, you and MoneyMate are each waiving the right to a trial by jury or to participate in a class or representative action to the maximum extent permitted by law. The terms evidence a transaction in interstate commerce, and thus the faa governs the interpretation and enforcement of this arbitration provision. This arbitration provision shall survive termination of the terms or your relationship with MoneyMate for any reason.
- Arbitrator. Any arbitration between you and MoneyMate will be governed by the commercial dispute resolution procedures and the supplementary procedures for consumer related disputes (collectively, “aaa rules”) of the american arbitration association (“aaa”), as modified by these terms, and will be administered by the aaa. The aaa rules and filing forms are available online at www.adr.org, by calling the aaa at 1-800-778-7879, or by contacting MoneyMate.
17. All issues are for the arbitrator to decide, including the scope and enforceability of this arbitration provision as well as other terms and conditions in these terms, and the arbitrator shall have exclusive authority to resolve any such dispute relating to the scope and enforceability of this arbitration provision or any other term of these terms including, but not limited to any claim that all or any part of this arbitration provision or these terms is void or voidable. However if putative class or representative claims are initially brought by either party in a court of law, and a motion to compel arbitration is brought by any party, then the court shall decide whether these terms permit class or representative proceedings. For the avoidance of doubt, the court and arbitrator shall be bound by these terms, including with regard to the class action waiver provision below. In any arbitration, the arbitrator shall follow the applicable law. The arbitrator shall not have the power to commit manifest errors of law or legal reasoning, and any award rendered by the arbitrator that employs a manifest error of law or legal reasoning may be vacated or corrected by a court of competent jurisdiction for any such error.
- Notice and process. A party who intends to seek arbitration must first send to the other, by certified mail, a written notice of dispute (“notice”). The notice to MoneyMate should be addressed to: MoneyMate, inc., 55 hawthorne st, 10th floor, san francisco, ca 94105 (“notice address”) and must be signed by you personally. Notice to you from MoneyMate may be to you directly, or if you are represented, to your legal counsel. The notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (“demand”). If you and MoneyMate do not reach an agreement to resolve the claim within 30 days after the notice is received, you or MoneyMate may commence an arbitration proceeding pursuant to the terms of this arbitration agreement.
- Fees. In the event that you commence arbitration in accordance with these terms, MoneyMate will, at your request, reimburse you for your payment of the arbitration filing fee, unless your claim is for greater than $10,000, in which case the payment of any fees shall be decided by the aaa rules. Any request for payment of fees by MoneyMate should be submitted by mail to the aaa along with your demand for arbitration and MoneyMate will make arrangements to pay all necessary fees directly to the aaa. In the event the arbitrator determines the claim(s) you assert in the arbitration to be frivolous or brought for an improper purpose (as measured by the standards set forth in federal rule of civil procedure 11(b) or its successor rule), you agree to reimburse MoneyMate for all fees associated with the arbitration paid by MoneyMate on your behalf that you otherwise would be obligated to pay under the aaa’s rules.
19. If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a non-appearance based telephonic hearing, or by an in-person hearing as established by the aaa rules. Any in-person arbitration hearings will take place at a location to be agreed upon in san francisco county, california. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.
- Class action waiver. Any arbitration under these terms will take place on an individual basis; class arbitrations and class actions are not permitted. Unless both you and MoneyMate agree otherwise, the arbitrator may not consolidate more than one person’s claims (except as set forth in subsection (f) below), and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that individual party’s claim. Any relief awarded cannot affect other users. If this specific subparagraph (e) is found to be unenforceable in its entirety, then the entirety of this arbitration provision shall be null and void. However, if only a portion of this subparagraph (e) is found to be unenforceable, then the unenforceable portion of the provision shall be stricken, and the remainder of subparagraph (e) enforced. Any claims or causes of action seeking relief not subject to individual arbitration under applicable law shall be stayed in a court of competent jurisdiction pending completion of individual arbitration to the maximum extent permitted by law. Nothing in subsection (e) or (f) below shall prevent you or MoneyMate from participating in a classwide settlement of claims.
20. You and MoneyMate agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
- Mass, collective, or batch arbitration. You and MoneyMate agree that administration of any mass, collective or batch arbitration shall be governed by the terms set forth in this subsection (f). You and MoneyMate agree that a “mass, collective, and/or batch arbitration” Includes, but is not limited to, instances in which you and others are represented by a law firm or collection of law firms or legal counsel that has filed more than 150 arbitration demands of a substantially similar nature against MoneyMate , alleging similar or identical claims or causes of action, within 180 days of the arbitration demand filed on your or others behalf, and the law firm or collective of legal counsel/law firms seeks to simultaneously or collectively administer and/or arbitrate all the arbitration demands together. If more than 150 arbitration demands of a substantially similar nature, alleging the similar or identical claims or causes of action, are filed against MoneyMate by the same law firm or collection of legal counsel/law firms within 180 days of one another, each arbitration demand must be filed, administered, arbitrated, and resolved pursuant to this subsection (f).
21. Specifically, in order to increase the efficiency of resolution for any mass, collective, and/or batch arbitration, in the event 150 or more similar arbitration demands against MoneyMate are filed within a 180 day period pursuant to the above, the arbitration provider shall (i) group the arbitration demands into batches of no more than 150 demands per group; and (ii) provide for resolution of each group or batch as a single arbitration with one set of filing and administrative fees and a single arbitrator assigned per group or batch. You and MoneyMate agree to cooperate in good faith with the arbitration provider to implement the aforementioned protocol for mass, collective, and/or batch arbitrations with regard to resolution, fees and administration. If subsections (f)(i) or (f)(ii) are not enforced, or the arbitration provider refuses to follow these specific mass, collective, and/or batch arbitration protocols, then each arbitration demand must be filed, administered, arbitrated, and resolved individually, or the parties agree to seek out a different, mutually agreeable and widely-recognized arbitration organization agreeable to follow subsections (f)(i) or (f)(ii). If any other portion of this subparagraph (f) is found to be unenforceable, then the unenforceable portion of the provision shall be stricken, and the remainder of subparagraph (f) and this agreement shall be enforced to the maximum extent permitted by law. Mass, collective, and/or batch arbitrations shall otherwise be subject to all other substantive and procedural terms contained within this agreement.
22. Discovery. Discovery and/or the exchange of non-privileged information relevant to the dispute will be governed by the AAA Rules.
23. Injunctive Relief. Notwithstanding the Arbitration Agreement, you acknowledge that money damages are an inadequate remedy for unauthorized access to or use of the Services or your breach of any provisions in the Terms relating to MoneyMate’s intellectual property rights, and any such breach would result in irreparable harm to MoneyMate. Accordingly, in the event of any such actual or threatened breach, MoneyMate may, in addition to any other rights or remedies available to MoneyMate at law or equity, seek specific performance or injunctive relief without the posting of a bond.
Modifications. If MoneyMate makes any future change to this Arbitration Agreement (other than a change to the Notice Address) after your enrollment in a service or program or your use of the Services, you may reject any such change and require MoneyMate to adhere to the language in this arbitration provision as written at the time of your enrollment or purchase if a dispute between us arises, by sending us written notice within 30 days of the change to the Notice Address provided above. You acknowledge and agree that, in the event you reject any future change, your account with MoneyMate shall be immediately terminated and you will arbitrate any dispute between us in accordance with the language of this provision as written at the time of your enrollment or purchase.
24. Severability and Enforceability. If an arbitrator or court decides that any part of this Section 12 is invalid or unenforceable, the other parts of this Section 12 shall still apply. If the entirety of this Section 12 is found to be unenforceable, then the parties agree that the exclusive jurisdiction and venue described in Section 11 shall govern any action arising out of or related to the Terms, and that the remainder of the Terms will continue to apply.
25. Modification of the Services. MoneyMate reserves the right to modify or discontinue, temporarily or permanently, some or all of the Services at any time without any notice or further obligation to you. You agree that MoneyMate will not be liable to you or to any third-party for any modification, suspension, or discontinuance of any of the Services.
26. General.
- Entire Agreement. Except as specified herein, these Terms, together with the Privacy Policy, constitutethe entire and exclusive understanding and agreement between you and MoneyMate regarding your use of and access to the Services, and except as expressly permitted above may only be amended by a written agreement signed by authorized representatives of the parties.
- No Waiver. The failure to require performance of any provision shall not affect our right to require performance at any time thereafter, nor shall a waiver of any breach or default of the Terms constitute a waiver of any subsequent breach or default or a waiver of the provision itself.
- Paragraph Headers. Use of paragraph headers in the Terms is for convenience only and shall not have any impact on the interpretation of particular provisions.
- In the event that any part of the Terms is held to be invalid or unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remaining parts will remain in full force and effect.
- Partner Terms. In some instances, MoneyMate’s third-party partners require that MoneyMate users agree to be bound by some additional terms of use that are specific to particular products or services (“Partner Terms”). In the event of any conflict between the Partner Terms and MoneyMate’s Terms, MoneyMate’s Terms govern and control.
- Third-Party Beneficiaries. MoneyMate’s former and past employees, directors, officers and contractors, and each of their successors and assigns, are intended beneficiaries of Section 6 (Indemnification) and the Arbitration Agreement and have the right to enforce such provisions against you. The Terms are not otherwise intended to grant rights to anyone except you and MoneyMate or create any third-party beneficiary rights.

Where users express interest in investment advisory or other licensed financial services, MoneyMate may introduce users to Affiliate Partners who are independently licensed to provide those services. MoneyMate’s role in that process is limited to the introduction. All investment advisory and related licensed services are provided solely by the applicable Affiliate Partner, under that partner’s own licenses, agreements, and regulatory obligations. See Sections 7 and 10 for full details.

- Be a U.S. resident
- Have the legal capacity to enter into a binding agreement
- Not have been previously suspended or permanently removed from the Services
- Use the Services in compliance with all applicable laws and regulations

4. Account Registration and Security
A. Creating Your Account
To access certain features of the Services, you must register for an account. During registration, you will be asked to provide identifying information, including your email address, and to create a username and password (“Registration Information”).
You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You must not impersonate any person, misrepresent any affiliation, or use false information in connection with your account.
B. Account Security
You are solely responsible for maintaining the confidentiality of your password and all activity that occurs under your account. You agree not to share your login credentials with any other person. If you believe your account has been accessed without authorization, you must notify us immediately at support@ehmoneymate.com.
MoneyMate will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
5. Linked Financial Accounts
MoneyMate offers an account-linking feature that allows you to connect third-party financial accounts for display and tracking purposes. This feature is powered by MX Technologies, Inc. (“MX”).
By using the account-linking feature, you:
- Authorize MoneyMate and MX to access the financial accounts you designate
- Acknowledge that MX’s own Privacy Policy (available at www.mx.com/privacy-policy) governs MX’s handling of your data
- Understand that MoneyMate displays account data for informational purposes only and does not use that data to move funds, extend credit, or make eligibility decisions on your behalf
You may disconnect any linked account at any time through your account settings. Disconnecting an account will stop future data retrieval but does not immediately delete previously retrieved data. See our Privacy Policy for data retention details.
6. Subscription and Payment
Certain features of MoneyMate require a paid subscription. Subscription fees are processed through Stripe, Inc. (“Stripe”), our payment processor. By subscribing, you agree to Stripe’s Terms of Service and Privacy Policy, available at stripe.com.
You agree to provide accurate and complete payment information and authorize MoneyMate to charge your payment method for applicable subscription fees on a recurring basis until you cancel.
Subscription cancellations must be submitted to support@ehmoneymate.com. You will retain access to paid features through the end of your current billing period. MoneyMate does not provide refunds for partial billing periods except where required by applicable law.
MoneyMate reserves the right to modify subscription pricing with advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
7. Financial Consulting and Affiliate Partner Referrals
A. EpocHarvest Consulting Services
EpocHarvest Inc. offers personalized financial consulting services, including budgeting, cash flow management, debt management, and short- and long-term financial goal setting, through its Finance Managers (“Consulting Services”).
The following disclosures apply to all Consulting Services:
- Finance Managers are not licensed financial advisors, investment advisors, securities brokers, or insurance professionals. They do not hold CFP, CFA, Series, or other professional financial licenses.
- The Consulting Services are educational and financial coaching in nature. They do not constitute regulated financial advice, investment advice, tax advice, or legal advice.
- Clients should consult licensed professionals before making significant financial decisions, including those involving investments, taxes, insurance, or legal matters.
- Enrollment in Consulting Services requires a separate written Client Agreement with EpocHarvest Inc. In the event of any conflict between that Client Agreement and these Terms, the Client Agreement governs for the Consulting Services only.
Nothing in these Terms limits any rights you may have under applicable consumer protection laws in connection with the Consulting Services.
B. Affiliate Partner Referrals — Licensed Financial Advisors
MoneyMate maintains a directory of, and referral relationships with, independent licensed financial advisors (“Affiliate Partners”) who may be able to provide services that MoneyMate and EpocHarvest do not offer, including investment advisory services, securities brokerage, insurance, and other regulated financial services.
If you express interest in services requiring licensure, MoneyMate may introduce you to one or more Affiliate Partners. The following terms apply to all such referrals:
- MoneyMate’s role is limited to the introduction. We do not provide, supervise, or have responsibility for any advice, recommendations, or services delivered by an Affiliate Partner.
- Each Affiliate Partner is an independent business operating under its own licenses, registrations, and regulatory obligations. Affiliate Partners are not employees, agents, or representatives of MoneyMate or EpocHarvest.
- Your relationship with any Affiliate Partner is governed solely by the terms, agreements, and disclosures provided by that Affiliate Partner. MoneyMate is not a party to that relationship.
- MoneyMate may receive compensation in connection with referrals to Affiliate Partners. The existence of a referral relationship does not constitute an endorsement of any Affiliate Partner’s specific advice, products, or suitability for your individual circumstances.
- You are under no obligation to use any Affiliate Partner introduced through MoneyMate’s directory or referral process.
Before engaging any Affiliate Partner for investment advisory or other licensed financial services, you should independently verify that partner’s credentials, licenses, and regulatory standing, and review all disclosures required to be provided to you by that partner under applicable law.
8. Prohibited Conduct
You agree not to use the Services to:
- Engage in any unlawful activity or violate any applicable local, state, federal, or international law or regulation
- Misrepresent your identity, age, affiliation, or any other information in connection with your account or use of the Services

10. Disclaimers
A. Platform Development Status
MoneyMate is a commercially available platform that is actively under development. While we work diligently to provide accurate and reliable services, the platform may contain bugs, errors, or inaccuracies. Features may change, be interrupted, or be temporarily unavailable. We encourage you to report any issues to support@ehmoneymate.com.
B. No Investment, Financial, Legal, or Tax Advice
The information, tools, and content provided through the Services are for educational and informational purposes only. MoneyMate and EpocHarvest do not provide investment advice, financial advice, tax advice, insurance advice, or legal advice.
MoneyMate is not a licensed financial institution, investment advisor, broker-dealer, or insurance provider. MoneyMate is not affiliated with or endorsed by FINRA, the SEC, or any other regulatory authority.
Where MoneyMate refers users to Affiliate Partners who are independently licensed financial advisors, that referral is not an endorsement, guarantee, or representation regarding the suitability or quality of any advice or services that Affiliate Partner may provide. All investment advisory and other licensed services are delivered solely by the Affiliate Partner, who assumes full regulatory responsibility for those services.
Before acting on any financial information accessed through the Services or making any financial decisions based on a referral or introduction from MoneyMate, you should independently evaluate the information and consult a qualified licensed professional who is fully aware of your individual circumstances.
C. No Warranty
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. MONEYMATE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. MONEYMATE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
D. Third-Party Services
The Services may integrate with or link to third-party services, including MX Technologies and Stripe. MoneyMate makes no representations or warranties regarding the accuracy, availability, or security of any third-party service. Your use of third-party services is governed by those parties’ own terms and privacy policies. MoneyMate is not responsible for the content, practices, or actions of any third party.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT WILL MONEYMATE, ITS OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF MONEYMATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) MONEYMATE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (i) THE TOTAL AMOUNTS YOU PAID TO MONEYMATE FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. To the extent such laws apply, some of the above exclusions or limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless EpocHarvest Inc. DBA MoneyMate and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
- Any content you submit through the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
MoneyMate reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with MoneyMate’s defense of any such claim.
13. Dispute Resolution — Binding Arbitration and Class Action Waiver
BY USING THE SERVICES, YOU AND MONEYMATE AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
A. Informal Resolution First
Most concerns can be resolved quickly and informally. Before initiating arbitration, you agree to contact us at support@ehmoneymate.com and describe your dispute in reasonable detail. We will make a good-faith effort to resolve the issue within 30 days of receiving your notice. If we cannot resolve the dispute informally within that period, either party may initiate arbitration as described below.
B. Binding Arbitration
Except for small claims court actions or claims for injunctive relief related to intellectual property (described below), any dispute, claim, or controversy between you and MoneyMate arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms.
The AAA rules are available at www.adr.org or by calling 1-800-778-7879. The arbitration will be conducted in English. Any in-person hearing will take place in Atlanta, Georgia, or in the county where you reside at your election, for claims of $10,000 or less.
C. Class Action Waiver
All arbitrations shall proceed on an individual basis only. You and MoneyMate each waive the right to bring or participate in any class, collective, consolidated, or representative action or arbitration. The arbitrator may award relief only on an individual basis and only to the extent necessary to provide relief for your individual claim. If this class action waiver is found unenforceable in its entirety, the entire arbitration provision will be null and void.
D. Mass Arbitration
If 150 or more substantially similar arbitration demands against MoneyMate are filed within a 180-day period by the same law firm or coordinated group of counsel, those demands will be batched into groups of no more than 150 and each batch will be treated as a single arbitration proceeding with one set of fees and one arbitrator. The parties agree to cooperate in good faith to implement this protocol.
E. Arbitration Notice
A party seeking arbitration must first send written notice of the dispute to the other party by certified mail. Notices to MoneyMate must be sent to:
EpocHarvest Inc. DBA MoneyMate — Legal
1441 Woodmont Lane SW, STE 1034
Atlanta, GA 30318
The notice must describe the nature of the claim and the specific relief sought. If the parties cannot resolve the matter within 30 days of the notice being received, arbitration may be initiated.
F. Arbitration Fees
For claims of $10,000 or less, MoneyMate will reimburse your arbitration filing fee upon request, unless the arbitrator finds your claim to be frivolous under the standards of Federal Rule of Civil Procedure 11(b). For claims over $10,000, AAA rules govern fee allocation.
G. Exceptions — Small Claims and Injunctive Relief
Either party may bring an individual claim in small claims court if the claim qualifies under that court’s rules. Notwithstanding the arbitration agreement, MoneyMate may seek injunctive or other equitable relief in any court of competent jurisdiction for actual or threatened infringement of its intellectual property rights or unauthorized access to the Services, without the obligation to post bond.
H. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia and the Federal Arbitration Act (“FAA”), without regard to conflict of law principles. To the extent that any court proceeding is permitted under these Terms, the parties consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.
I. Severability
If any portion of this Section 13 (other than the class action waiver in Section 13(C)) is found unenforceable, that portion will be severed and the remainder of this Section will continue in full force. If the class action waiver is found entirely unenforceable, this entire Section 13 shall be null and void.
14. Term and Termination
These Terms remain in effect for as long as you use the Services or maintain an active account.
Termination by You:
You may close your account at any time by contacting us at support@ehmoneymate.com. Account closure does not automatically delete your data. If you wish to have your data deleted, you must submit a separate deletion request. See our Privacy Policy for details.
Termination by MoneyMate:
MoneyMate may suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to your violation of these Terms. MoneyMate may also modify, discontinue, or suspend any aspect of the Services at any time without liability to you.
Effect of Termination:
Upon termination, your license to use the Services will immediately end. MoneyMate may retain certain information as required by law or as described in our Privacy Policy. Provisions of these Terms that by their nature should survive termination — including Sections 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Dispute Resolution) — will survive.
15. Modifications to the Terms
MoneyMate may modify these Terms at any time. When we make material changes, we will notify you by email to the address associated with your account and/or by posting a prominent notice on the Site. The revised Terms will be effective upon the date specified in the notice.
Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services and close your account.
16. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and any applicable Client Agreement, constitute the entire agreement between you and MoneyMate regarding the Services and supersede all prior agreements or understandings.
- No Waiver. MoneyMate’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Severability. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MoneyMate may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
- Third-Party Beneficiaries. Except as expressly stated in these Terms, no third party is an intended beneficiary of these Terms. MoneyMate’s officers, directors, employees, and contractors are intended beneficiaries of the indemnification provisions in Section 12 and the Arbitration Agreement in Section 13.
- Partner Terms. Where MoneyMate’s third-party service providers require users to agree to supplemental terms, those partner terms apply in addition to these Terms. In the event of a conflict, these Terms govern unless expressly stated otherwise.
- Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
